By engaging MetroAgeom Legal Services ("MetroAgeom," "we," "us," or "our") for legal services or by using our website, you ("Client," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations.

These terms constitute a legally binding agreement between you and MetroAgeom. If you do not agree to these terms, please do not use our services or website.

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of any modifications.

3. Client Obligations

3.1 Information Disclosure

You agree to:

  • Provide complete, accurate, and timely information relevant to your legal matter
  • Disclose all material facts that may affect our legal advice
  • Notify us immediately of any changes in circumstances
  • Cooperate fully in the provision of legal services

3.2 Document Provision

You are responsible for:

  • Providing all relevant documents in a timely manner
  • Ensuring the authenticity and accuracy of provided documents
  • Obtaining necessary authorizations for document review
  • Maintaining copies of important documents

3.3 Compliance with Laws

You warrant that:

  • Your activities comply with all applicable laws and regulations
  • You have the legal capacity to enter into the contemplated transactions
  • No criminal proceedings are pending against you in relevant jurisdictions
  • You will comply with all anti-money laundering requirements

4. Fees and Payment Terms

4.1 Fee Structure

Our fees are determined based on:

  • Complexity and scope of legal services required
  • Time and resources invested in your matter
  • Seniority and expertise of lawyers assigned
  • Urgency and timeline requirements

4.2 Payment Terms

Payment terms include:

  • Initial retainer required before commencement of services
  • Monthly billing for ongoing matters
  • Payment due within 30 days of invoice date
  • Interest charges on overdue amounts as permitted by law

4.3 Additional Costs

You are responsible for:

  • Third-party costs incurred on your behalf
  • Government fees and registration charges
  • Translation and notarization costs
  • Travel expenses for matters requiring physical presence

5. Confidentiality and Attorney-Client Privilege

5.1 Confidentiality Obligations

We maintain strict confidentiality regarding:

  • All information shared by you in connection with legal services
  • Details of your legal matters and transactions
  • Financial and business information disclosed to us
  • Strategic decisions and legal advice provided

5.2 Attorney-Client Privilege

Communications between you and our lawyers are protected by attorney-client privilege under Malaysian law and relevant international legal principles. This privilege belongs to you and can only be waived by you.

5.3 Exceptions to Confidentiality

We may disclose confidential information only when:

  • Required by law, court order, or regulatory authority
  • Necessary to prevent criminal activity or fraud
  • With your explicit written consent
  • To protect our legitimate interests in fee collection or professional liability matters

6. Limitation of Liability

6.1 Professional Liability

Our liability for professional services is limited to:

  • Direct damages proximately caused by our negligence or breach of professional duty
  • The amount of fees paid for the specific service giving rise to the claim
  • Coverage available under our professional indemnity insurance

6.2 Exclusions

We are not liable for:

  • Consequential, indirect, or speculative damages
  • Loss of profits, business opportunities, or investment returns
  • Damages resulting from changes in law or government policy
  • Third-party actions or decisions beyond our control

6.3 Statute of Limitations

Any claims against MetroAgeom must be brought within two (2) years from the date you knew or should have known of the alleged breach or negligence.

7. Termination of Services

7.1 Termination by Client

You may terminate our services at any time by providing written notice. You remain responsible for:

  • Payment of all fees and costs incurred up to the termination date
  • Costs associated with transferring files and documents
  • Completion of urgent matters to prevent prejudice to your interests

7.2 Termination by MetroAgeom

We may terminate our services in the following circumstances:

  • Non-payment of fees after reasonable notice
  • Conflict of interest that cannot be resolved
  • Client's failure to cooperate or provide necessary information
  • Illegal or unethical conduct by the client
  • Professional conduct rules requiring withdrawal

7.3 Post-Termination Obligations

Upon termination:

  • We will return client documents and property
  • Confidentiality obligations continue indefinitely
  • Final invoicing and payment reconciliation will be completed
  • File retention will continue as required by professional regulations

8. Governing Law and Dispute Resolution

8.1 Governing Law

These Terms of Service are governed by the laws of Malaysia. Any disputes arising from our professional relationship will be subject to the jurisdiction of Malaysian courts.

8.2 Dispute Resolution

We encourage resolution of disputes through:

  • Direct negotiation between the parties
  • Mediation through the Malaysian Bar Council
  • Arbitration under the Arbitration Act 2005 (Malaysia)
  • Court proceedings as a last resort

8.3 Professional Complaints

Complaints regarding professional conduct may be addressed to:

  • MetroAgeom's internal complaints procedure
  • Malaysian Bar Council disciplinary processes
  • Legal profession regulatory bodies in relevant jurisdictions

9. General Provisions

9.1 Entire Agreement

These Terms of Service, together with our engagement letter and fee agreement, constitute the entire agreement between you and MetroAgeom regarding our professional services.

9.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

9.3 Assignment

You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations to a successor firm with appropriate notice.

9.4 Force Majeure

Neither party will be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or global health emergencies.
